Software License & Subscription Agreement

This Software License & Subscription Agreement (this "License") is part of the Agreement between you and Audience Builders LLC ("Audience Builders," "we," "us," or "our") and governs the license granted to you to use Dispatch (the "Service") and the subscription and payment terms that apply. Capitalized terms not defined here have the meanings given in the Terms of Service.

1. License Grant

Subject to your continuous compliance with the Agreement and payment of all applicable fees, Audience Builders grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for your own internal business or professional purposes during your subscription term. The Service is licensed, not sold, and no title or ownership passes to you.

2. License Restrictions

You will not, and will not permit any third party to:

  • copy, modify, translate, or create derivative works of the Service;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, models, or underlying structure of the Service, except to the extent this restriction is prohibited by applicable law;
  • rent, lease, lend, sell, sublicense, assign, distribute, publish, host as a service bureau, or otherwise make the Service available to any third party, except as expressly permitted for your authorized users;
  • use the Service to build or train a competing product or service, or to benchmark against a competing product for public disclosure;
  • access the Service through automated means or scrape it, except through interfaces and API keys we expressly provide, and in accordance with any rate limits and documentation;
  • circumvent, disable, or interfere with security, usage limits, metering, or access controls, or attempt to gain unauthorized access to the Service or its related systems;
  • remove, obscure, or alter any proprietary notices; or
  • use the Service in violation of the Acceptable Use Policy or any applicable law.

3. Authorized Users and Brands

The Service is priced per subscription. Each plan includes the number of brands stated in Section 12 and — depending on your plan — permits you to invite additional users to each brand. The brand that starts a subscription at checkout is the subscription's billing brand. Only an owner of the billing brand can add brands to the subscription, manage its billing, or change its plan, and brands added to a subscription share its plan, billing status, and any free trial. You are responsible for your authorized users' compliance with the Agreement, for all activity under your account and your brands, and for ensuring you have the right to add each user and each brand. We may set and adjust limits on brands, users, storage, generation volume, API calls, and other usage. The limits included with each plan are described in Section 12.

4. Ownership

Audience Builders and its licensors retain all right, title, and interest in and to the Service and all related software, models, templates, designs, and intellectual property, including all improvements and derivatives. Except for the limited license expressly granted in Section 1, no rights are granted to you by implication, estoppel, or otherwise.

5. Subscriptions and Plans

The Service is offered on subscription plans described at the point of purchase. The features, usage allowances, and prices for each plan are those presented to you at checkout and may change as described in Section 10. Some accounts may be provided on a complimentary, early-access, or trial basis at our discretion, and we may modify or end such access at any time.

Free trials. If we offer a free trial, we will disclose at checkout whether it automatically converts to a paid subscription, when the conversion occurs, and the price you will be charged. Unless we clearly and conspicuously disclose an automatic conversion at sign-up, a trial will not convert to a paid plan without your separate affirmative consent. Free trials are available only on plans offered through self-serve checkout, are limited to one per billing brand (a brand that has previously had a trial or a subscription is not eligible for another), and require a valid payment method at sign-up. Brands added to a subscription share its trial and are not eligible for a trial of their own. During a trial, the brands on the subscription receive the limits of the plan being trialed, subject to the brand limit in Section 12.

6. Fees, Billing, and Payment Authorization

You agree to pay all fees for your selected plan. Fees are billed in advance on a recurring basis (monthly for plans purchased through self-serve checkout, or as stated in your order form) through our third-party payment processor. By subscribing and providing a payment method, you authorize Audience Builders and our payment processor to charge that payment method for all fees when due, including recurring charges on each renewal, and you represent that you are authorized to use the payment method. All fees are stated and payable in U.S. dollars unless stated otherwise.

Failed payments. If a renewal or other payment fails, or a subscription otherwise stops being active, access to each brand on that subscription is suspended right away for all of its users, including while our payment processor retries the charge. While a brand is suspended, its users are directed to the billing page; the Service stops accepting new X posts, new Livestreams, new or retried transcriptions, and new video renders and reframes for that brand, pauses its Meeting Watch sources, stops Auto-Dispatch from drafting or publishing new stories for it, and limits its AI generation. An Auto-Dispatch API key for a suspended brand can still read what the brand already has, including its Auto-Dispatch outputs, mark outputs as retrieved, delete the brand's content sources, and change its settings (other than turning on automated video), but cannot add, change, or refresh content sources. Items scheduled before the suspension (for example, posts already scheduled for publishing, or scheduled Livestreams) may still run. Access returns automatically once payment succeeds and the subscription is active again. If payment has still not succeeded when our payment processor stops retrying, the subscription may be canceled or may remain suspended until payment succeeds, and we may cancel a subscription if a charge for it is disputed with your bank or card issuer. Once a subscription has been canceled, to restore access an owner of the billing brand must start a new subscription, which is billed right away and does not include a free trial. We notify the brand's users of a failed payment in the Service, and our payment processor may also notify you by email. You are responsible for keeping your payment and billing information current.

7. Automatic Renewal and Cancellation

IMPORTANT — AUTOMATIC RENEWAL. YOUR SUBSCRIPTION AUTOMATICALLY RENEWS AT THE END OF EACH BILLING PERIOD FOR A NEW PERIOD OF THE SAME LENGTH, AND YOUR PAYMENT METHOD WILL BE CHARGED THE THEN-CURRENT FEE FOR THAT PLAN, UNLESS YOU CANCEL BEFORE THE RENEWAL DATE.

You may cancel your subscription at any time through your account settings or by contacting support@dispatchsocial.app. Cancellation takes effect at the end of the current billing period; you will retain access until then, and you will not be charged for the following period. Except as stated in Section 9 or as required by law, cancellation does not entitle you to a refund of fees already paid.

Consent, reminders, and cancellation. Before you are charged, the plan, the recurring amount, the renewal cadence, and how to cancel are shown to you at checkout, where we obtain your affirmative consent to recurring billing. You can cancel online at any time through your account settings (or, while an update to the Agreement awaits your acceptance, from the screen that asks you to accept it), without contacting us and without a retention process. Emails about your subscription come from our payment processor, not from the Service: a reminder about your free trial (for a trial of 7 days or less, it arrives when the trial starts), a receipt after each successful payment or refund, and notices when a card payment fails, when a card on file is about to expire, or when a payment needs you to confirm it. We do not otherwise remind you before a renewal. This Section is intended to comply with applicable automatic-renewal laws, including Maryland's and California's.

8. Taxes

Fees are exclusive of taxes. You are responsible for all sales, use, value-added, and similar taxes and government charges associated with your purchase, excluding taxes based on our net income. If we are required to collect such taxes, we may add them to your charges.

9. Refunds

EXCEPT WHERE REQUIRED BY APPLICABLE LAW, ALL FEES ARE NON-REFUNDABLE, AND WE DO NOT PROVIDE REFUNDS OR CREDITS FOR PARTIAL BILLING PERIODS, UNUSED TIME, OR UNUSED FEATURES OR ALLOWANCES. This Section does not limit any non-waivable statutory rights you may have.

10. Price and Plan Changes

We may change our prices, plans, features, and usage allowances. For changes that increase the recurring fee for your plan, we will give you advance notice (for example, by email or in-product notice) before the change takes effect, and the change will apply on your next renewal. If you do not agree to a change to your plan's price or features, you may cancel before it takes effect; otherwise it applies to your subscription from its effective date. Changes to the Agreement itself, including to the limits and allowances in Section 12, are accepted only by agreeing to the updated Agreement on the screen that asks you to, as described in Section 19 of the Terms of Service; as that Section says, changed limits may apply to your brands from the effective date, before you accept.

11. Usage Limits and Fair Use

The Service may be subject to usage limits, including limits on AI generation, video processing, transcription, livestreaming (including the number of streams, broadcast duration, and recording retention), watched sources and keyword alerts, storage, publishing volume, and API requests. Individual jobs are also subject to technical limits on file size, file format, media length, the number of media items in a post, and processing time, as shown in the Service or required by a Third-Party Platform; a job that exceeds a technical limit may fail, time out, or complete without some requested elements (for example, captions on very long audio). Some features rely on capacity shared across customers, such as livestream recording storage, our livestream streaming servers, and video processing capacity; when that capacity is exhausted or limited, those features (for example, starting or scheduling a new Livestream) may be temporarily unavailable, and we may limit how much of that capacity each subscription, across all of its brands, can use at the same time. We may meter usage, throttle, or require an upgrade if your usage materially exceeds the allowances for your plan or imposes a disproportionate burden on the Service or on Third-Party Services. Third-Party Services may charge pass-through or per-action costs that are your responsibility where disclosed.

12. Plan Limits and Monthly Usage Allowance

This Section describes the limits included with each plan. It adds detail to Sections 3 and 11 and does not limit them. The brand limit counts every brand on the same subscription: the billing brand described in Section 3 and every brand added to it, including brands locked under "Brands over the brand limit" below. The monthly usage allowance also covers the whole subscription: usage by every brand on it, including locked brands, counts toward one allowance. Once a brand is deleted, its usage no longer counts toward the allowance, including its usage earlier in the month; deleting brands to avoid the allowance is prohibited by Section 2. All other limits in this Section — user seats, content feeds, and the AI generation, X post, Livestream, meeting transcription, Meeting Watch, and keyword alert limits — apply to each brand separately, and usage in one brand does not count toward another brand's limits, except for the shared streaming capacity limit described under "Livestream" below. If you have a signed order form, any limits it states control over this Section. Accounts provided on a complimentary or early-access basis under Section 5 are subject to the limits we set for them, which may differ from those described here. Other operational limits, such as how often content sources and analytics can be refreshed, how long post analytics continue to update, and how quickly alert emails are sent, may also apply under Section 11.

Users, brands, and feeds. Each plan includes the following. Every user of a brand, including its owner, occupies one seat in that brand. A content feed is each RSS or Atom feed a brand adds for Auto-Dispatch, whether it is added in the Feeds or Auto-Dispatch area of the Service or through the Auto-Dispatch API. In addition, each brand on a plan that includes Auto-Dispatch may connect one WordPress site.

  • Starter: up to 1 brand; for each brand, up to 5 user seats and no content feeds (Auto-Dispatch is not included).
  • Business: up to 3 brands; for each brand, up to 10 user seats and up to 10 content feeds for Auto-Dispatch.
  • Enterprise: users, brands, and feeds as stated in your order form.

Adding brands. An owner of the billing brand can add brands to the subscription in the Service while the subscription is in a free trial or active, up to the plan's brand limit, at no additional charge. Each added brand has its own users, content feeds, daily limits, and other per-brand limits as described in this Section, and shares the subscription's monthly usage allowance. An owner of a brand added to a subscription can delete that brand in the Service, which frees its place under the brand limit, as long as they remain a user of at least one other brand and none of the brand's Livestreams is on air or ready to go on air. Deleting that brand cannot be undone; it also cancels its scheduled Livestreams and removes its saved Livestream destinations. It does not delete all of the brand's data (for example, its Auto-Dispatch content sources, WordPress connection, and media files are kept, and its Auto-Dispatch API key is not revoked); Section 7 of the Privacy Policy lists what is kept and how to have it deleted. The billing brand cannot be deleted while other brands are on its subscription or while its subscription is in a free trial, active, or awaiting a retried payment. To add brands to an Enterprise subscription, contact support@dispatchsocial.app.

Monthly usage allowance. The Starter and Business plans include one monthly usage allowance for each subscription, shared by every brand on it. The allowance is included in the plan fee, and the subscription's usage is shown as a percentage of the allowance in the usage meter in the Service. Usage is measured using the rates we set for each metered operation. Metered operations include publishing to X (counted when an X post is created or scheduled, or when X is added to an existing post; canceling it before it publishes restores that usage); AI generation (for example, AI-written posts and other AI writing features); video processing (for example, transcribing, rendering, reframing, converting, and checking video, including retrieving Meeting Watch transcripts); card rendering; and Livestream (delivery to each destination, in-app stream monitoring, and the cloud processing that adds your wordmark to some broadcasts). Each brand's owner can see the usage meter in Settings, and the Service shows each brand's users a notice as the subscription approaches and reaches its limits (currently starting at 80% of the allowance). Limits apply in stages, to every brand on the subscription:

  • At 100% of the allowance, publishing to X pauses. Publishing to other platforms, AI generation, video processing, transcription, and Livestream continue.
  • At 120% of the allowance, AI generation, video rendering and reframing, new transcriptions (including retries and meetings found by Meeting Watch), and new Livestreams also pause. Other metered operations may continue and still count toward the allowance.
  • The allowance resets at the start of the first day of each calendar month, in Coordinated Universal Time (UTC). Paused features resume then, or sooner if you upgrade to a plan whose allowance covers your usage.

Card rendering and video conversion are not paused by the allowance, and the allowance does not stop Livestreams already on air or already scheduled, or transcriptions already under way, but their usage counts toward the allowance and can cause the pauses above. While transcription is paused, Meeting Watch keeps checking your sources and holds the meetings it finds until transcription resumes. We may correct recorded usage to fix metering errors; a correction applies to the month in which it is made. Notices about usage are provided as a courtesy, and the limits in this Section apply whether or not a notice is shown or seen.

Usage beyond the allowance is not billed. We do not charge overage fees; instead, features pause as described above. Unused allowance does not carry over to the next month and is not refundable (see Section 9).

Daily X post limits. Separately from the monthly allowance, and as a safeguard against runaway or unintended spending (for example, from a misconfigured feed or automation), each brand may create a limited number of X posts per day: Starter 50 and Business 150. Enterprise: as stated in your order form (by default, a daily limit we set for your account). A post counts toward the limit when it is created or when X is added to an existing post, and canceling or deleting it afterward does not restore the count. The daily limit resets at 00:00 UTC; until then, further X posts are paused.

While publishing to X is paused under the monthly allowance or the daily X post limit, you cannot create new X posts or add X to existing posts, but X posts scheduled before the pause will still publish. Auto-Dispatch continues to publish new stories to your other connected platforms without X and does not post those stories to X later; if X is the only platform a feed can publish to automatically, the story is saved as a draft for your review instead. Because some limits are checked periodically, automated publishing may briefly exceed a limit before the pause takes effect.

Daily AI generation limits. Separately from the monthly allowance, each brand may make a limited number of AI generation requests per day: Starter 200 and Business 1,000. Enterprise: as stated in your order form (by default, a daily limit we set for your account). AI generation requests include requests made by AI writing features (for example, drafting, planning, and proofreading posts) and by Auto-Dispatch (for example, drafting posts and shortening card headlines). The daily limit resets at midnight in the brand's time zone, which is set when the brand is created and shown in Settings. Each AI Smart Reframe of a video, and each Auto-Cut render made with the Broadcast stack option, also counts as one request toward the limit for the current day in Coordinated Universal Time (UTC), which may differ from the brand's local day, but neither is itself paused by this limit. When a brand reaches its limit, further AI generation requests for that brand, including Auto-Dispatch drafting, pause until the limit resets, and stories Auto-Dispatch has not yet drafted may be drafted on later runs. We may, at our discretion, allow a limited number of requests beyond the limit.

Livestream. Each brand may have a limited number of open Livestreams at a time and may create a limited number of new Livestreams per day: Starter 2 open and 10 per day; Business 5 open and 30 per day. Enterprise: as stated in your order form (by default, limits we set for your account). A Livestream cannot be scheduled more than 7 days in advance or sent to more than 5 destinations. A Livestream is open from when it is created or scheduled until it ends or is deleted. The daily limit counts Livestreams created since 00:00 UTC, including ones that have since ended; deleting a Livestream removes it from both counts. These limits, and on the Starter and Business plans the monthly usage allowance, are checked when a Livestream is created, so a Livestream scheduled before a plan change, a pause under the allowance, or a suspension may still run. For this check, usage by the subscription's Livestreams that are still open counts toward the allowance, although the usage meter shows a Livestream's usage only after it ends. While our shared streaming capacity is limited, the brands on a subscription together may have only one open Livestream at a time on our shared streaming server: a new Livestream that would run on that server is refused if another open Livestream on the same subscription that runs there is still on air, or starts or is scheduled to start less than the maximum run time we set for those broadcasts before or after it. Currently every browser camera, encoder, and video file Livestream, and some relays of an existing feed, run on that server. A Livestream that would run on that server may also be refused when the server is fully booked for that length of time from its start. A broadcast may end automatically when it reaches a maximum run time we set for its type of stream, and optional processing (such as adding your wordmark) may be skipped, for example when capacity is limited or your wordmark is not a usable PNG or JPEG image. Livestream recordings are kept temporarily for operational purposes (currently up to 30 days) and then deleted automatically. The Service does not currently provide access to or downloads of Livestream recordings; keep your own copy through your encoder or destination platforms.

Meeting transcription, Meeting Watch, and keyword alerts. Each brand may add a limited number of new meetings for transcription in any rolling 24-hour period, including meetings added automatically by Meeting Watch; at that limit, new requests are refused and Meeting Watch waits until capacity frees up. Each brand may watch a limited number of sources with Meeting Watch: Starter 1 and Business 5. Enterprise: as stated in your order form (by default, a limit we set for your account). Each brand may keep up to 50 active keyword alerts. Keyword alert emails are sent on a best-effort basis and may be delayed.

Automated video. Automated video in Auto-Dispatch (vertical or horizontal cuts, captions, and branding produced from video in your content sources without manual editing) is included only with the Enterprise plan and is not included with the Starter or Business plans. Editing video yourself in the Service, including with AI Smart Reframe, is not automated video. Automated video applies only to eligible video files linked directly in your content source (currently MP4 and MOV files; embedded players such as YouTube or Vimeo are not eligible), it is provided on a best-effort basis so not every eligible video will be processed, and it is subject to daily processing limits; when a daily limit is reached, a video may be reframed without AI Smart Reframe.

Upgrading. You can raise these limits by moving to a higher plan. An owner of the billing brand can upgrade the subscription from Starter to Business in the Service at any time while the subscription is in a free trial or active. The Business limits apply to each brand on your subscription, and the Business allowance to the subscription, once the upgrade is confirmed, and brands locked under the brand limit unlock then, up to the Business brand limit. At that time we charge the prorated difference between the two plan prices for the rest of your current billing period (notwithstanding Section 9, the unused portion of your current plan's fee for that period is credited toward this charge), and later renewals are at the Business price. If you are in a free trial when you upgrade, the trial continues and the Business price applies when it ends. For an Enterprise plan, with limits set in an order form, contact support@dispatchsocial.app.

Moving to a plan with lower limits. If a subscription moves to a plan with lower limits, including when a subscription ends or is suspended under Section 6, the new plan's limits apply from the change. Nothing is deleted. Existing users, content feeds, and watched sources are not removed, but you cannot add more until you are within the new limits, and we may pause the excess. For example, Meeting Watch continues only a brand's earliest-added sources up to the new limit and pauses the rest (paused sources still count toward the limit, and meetings published while a source is paused may not be processed later), and Auto-Dispatch stops drafting and publishing new stories if the new plan does not include it. The monthly usage allowance and daily limits change to the new plan's amounts right away, and usage earlier in the month counts toward the new allowance. Livestreams already scheduled may still run. To move to a plan with lower limits, contact support@dispatchsocial.app.

Brands over the brand limit. If a subscription that is in a free trial or active has more brands than its plan includes, the billing brand stays available and the brands added most recently are locked until the subscription is within its brand limit again. A locked brand's users are directed to the billing page, the Service treats the locked brand as suspended under Section 6 and, in addition, stops accepting new or edited posts for any platform and all new AI generation requests for it, and the locked brand can be deleted as described under "Adding brands" above. Locked brands unlock automatically, earliest-added first, as deleting brands or upgrading brings the subscription within its brand limit. When a subscription ends or is suspended under Section 6, every brand on it, including the billing brand, is suspended as described in that Section, whether or not the subscription is within its brand limit, and deleting brands does not restore access; if the subscription becomes active again, brands over its brand limit are locked as described in this paragraph.

Changes to these limits. We may change the limits and allowances in this Section as described in Section 10. If a change reduces a limit or the allowance included in your paid plan, we will give you advance notice (for example, by email or in-product notice) before it takes effect, and you may cancel before it takes effect. Increases may take effect immediately. We may also impose temporary limits without advance notice where reasonably necessary to protect the Service, Third-Party Platforms, or other customers, as described in Section 11.

13. Suspension for Non-Payment or Breach

We may suspend or limit your access to the Service if your account is past due, as described in Section 6, or if you breach the Agreement. For a failed payment, we notify you as described in Section 6. For other suspensions, we will use reasonable efforts to notify you where practical and permitted by law. Suspension does not relieve you of your obligation to pay fees accrued before suspension.

14. Term, Termination, and Effect

This License is effective for the duration of your subscription and any period during which you access the Service. It terminates automatically if your subscription ends or if the Agreement is terminated. On termination, the license in Section 1 immediately ends and you must stop using the Service. Fees for the then-current billing period remain payable. For thirty (30) days after termination (except termination for your material breach, or where prohibited by law), you may request an export of Your Content by writing to support@dispatchsocial.app (and may export it through the Service while your access to it remains available); after that period we may delete it. You are responsible for exporting or retaining your own copies.

15. Warranty Disclaimer and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." THE SERVICE PROVIDERS PARAGRAPH AND THE RELEASE (SECTION 7 OF THE TERMS OF SERVICE), THE WARRANTY DISCLAIMERS (SECTION 14 OF THE TERMS OF SERVICE), THE LIMITATION OF LIABILITY (SECTION 15 OF THE TERMS OF SERVICE), AND THE INDEMNIFICATION (SECTION 16 OF THE TERMS OF SERVICE) APPLY TO THIS LICENSE AND ARE INCORPORATED BY REFERENCE. This License does not expand our liability beyond the limits stated in the Terms of Service. Nothing in this License limits any non-waivable rights you may have; the "Non-waivable liability" savings language in Section 15 of the Terms of Service and the severability and force majeure provisions in Section 21 of the Terms of Service apply to this License.

16. Third-Party and Open-Source Components

The Service may include third-party or open-source components licensed under their own terms. To the extent required, those terms govern those components and, in case of conflict with this License as to those components, control. Third-party components are provided without warranty by us.

17. U.S. Government and Entity Use

If you are a U.S. government entity, the Service is a "commercial product" and "commercial computer software," and any use, reproduction, or disclosure is subject to the restrictions in this License. If you accept on behalf of any organization, you bind that organization to the Agreement.
